1. Introduction and Provider Information

These Terms of Service ("Terms") govern your use of the scheduling and calendar service ("Service") provided by ukix UG ("Provider", "we", "us", or "our"). By accessing or using our Service, you agree to be bound by these Terms.

These Terms are governed by the laws of the Federal Republic of Germany. For consumers, mandatory consumer protection laws of your country of residence apply.

2. Scope of Services

ukix calendar is an online scheduling platform that allows users to:

  • Create and manage event types with custom durations and settings
  • Set availability schedules and date-specific overrides
  • Share public booking pages where others can schedule meetings
  • Integrate with Google Calendar for conflict detection and event creation
  • Send and receive automated email notifications
  • Manage bookings through a personal dashboard

The Service is currently provided free of charge. We reserve the right to introduce paid plans in the future, with advance notice to existing users.

3. Registration and Account

3.1 Eligibility

You must be at least 16 years of age to use the Service. By registering, you represent and warrant that:

  • You are at least 16 years old
  • The information you provide is accurate, current, and complete
  • You will maintain and update your information to keep it accurate
  • You have the legal capacity to enter into these Terms

3.2 Account Security

You are responsible for:

  • Maintaining the confidentiality of your account credentials
  • All activities that occur under your account
  • Notifying us immediately of any unauthorized access

We are not liable for any loss or damage arising from your failure to secure your account.

3.3 Username Selection

Your username forms part of your public booking URL (e.g., calendar.ukix.app/yourname). You may not select a username that:

  • Impersonates another person or entity
  • Violates any trademark or intellectual property rights
  • Is offensive, inappropriate, or violates applicable laws
  • Is reserved or prohibited by us

We reserve the right to change or reclaim usernames at our discretion.

4. User Obligations

You agree not to:

  • Use the Service for any illegal purpose or in violation of any laws
  • Attempt to gain unauthorized access to any part of the Service
  • Interfere with or disrupt the Service or servers
  • Send spam, unsolicited messages, or harassing communications
  • Use the Service to transmit malware, viruses, or malicious code
  • Scrape, crawl, or use automated means to access the Service without permission
  • Collect or harvest personal data of other users without consent
  • Circumvent any security measures or usage limits

5. Content and Data

5.1 Your Content

You retain ownership of any content you create or upload to the Service, including event descriptions, profile information, and availability settings. You grant us a limited license to use this content solely to provide and improve the Service.

5.2 Booker Data

When you use our Service to accept bookings, you become a data controller for the personal data of your bookers (names, email addresses). You agree to:

  • Only use booker data for the purpose of scheduling and conducting meetings
  • Not use booker data for marketing without explicit consent
  • Not share or sell booker data to third parties
  • Comply with applicable data protection laws
  • Respond to data subject requests from your bookers

We act as a data processor on your behalf for booker data, governed by our Data Processing Agreement (implied by these Terms and our Privacy Policy).

5.3 Data Backup

While we maintain regular backups, you are responsible for maintaining copies of critical data. We recommend exporting your booking data periodically.

6. Third-Party Integrations

6.1 Google Calendar

If you connect Google Calendar, you authorize us to:

  • Read your calendar to check for busy times
  • Create events in your calendar when bookings are made
  • Update or delete events when bookings are modified or cancelled
  • Generate Google Meet links if enabled

Your use of Google Calendar integration is also subject to Google's Terms of Service and Privacy Policy. You can revoke access at any time through your Google Account settings or by disconnecting within our Service.

6.2 Third-Party Services

The Service may contain links to third-party websites or services. We are not responsible for the content, policies, or practices of any third-party services.

7. Availability and Support

7.1 Service Availability

We strive to maintain high availability but do not guarantee uninterrupted access. The Service may be temporarily unavailable for maintenance, updates, or factors beyond our control.

7.2 Support

We provide support via email at [email protected]. While we aim to respond promptly, we do not guarantee specific response times for the free tier.

8. Limitation of Liability

8.1 General Limitation

To the maximum extent permitted by applicable law:

  • The Service is provided "as is" without warranties of any kind
  • We disclaim all warranties, express or implied, including merchantability and fitness for a particular purpose
  • We do not warrant that the Service will be error-free or uninterrupted

8.2 Liability Cap

Our liability is limited as follows:

  • For slight negligence: We are liable only for breach of essential contractual obligations (cardinal obligations) and limited to foreseeable, typical damages
  • For gross negligence and willful misconduct: We are fully liable
  • For personal injury and death: We are fully liable as required by law
  • Under the Product Liability Act: Liability applies as required by law

8.3 Force Majeure

We are not liable for failures or delays caused by circumstances beyond our reasonable control, including acts of God, natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, strikes, or shortages of transportation, facilities, fuel, energy, labor, or materials.

9. Indemnification

You agree to indemnify and hold harmless ukix UG and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, costs, or expenses (including reasonable attorneys' fees) arising from:

  • Your use of the Service
  • Your violation of these Terms
  • Your violation of any rights of another party
  • Your content or data

10. Term and Termination

10.1 Term

These Terms remain in effect until terminated by you or us.

10.2 Termination by You

You may terminate your account at any time by:

  • Using the account deletion feature in your settings, or
  • Contacting us at [email protected]

Upon termination, your data will be deleted in accordance with our Privacy Policy.

10.3 Termination by Us

We may suspend or terminate your account if you:

  • Violate these Terms
  • Use the Service for illegal purposes
  • Engage in behavior that harms other users or the Service
  • Fail to cure a breach within 7 days of notice (where curable)

We may also terminate accounts that have been inactive for more than 12 months, with 30 days' prior notice.

10.4 Effect of Termination

Upon termination:

  • Your right to use the Service ceases immediately
  • Your public booking pages will no longer be accessible
  • Pending bookings may be cancelled
  • Sections of these Terms that by their nature should survive termination will continue to apply

11. Changes to Terms

We may modify these Terms at any time. We will notify you of material changes via email or through the Service. Your continued use after changes become effective constitutes acceptance of the revised Terms.

If you do not agree to the changes, you must stop using the Service and terminate your account.

12. Intellectual Property

12.1 Our Rights

The Service, including all software, designs, logos, trademarks, and content provided by us, is owned by ukix UG or our licensors and protected by intellectual property laws. These Terms do not grant you any right, title, or interest in our intellectual property.

12.2 Feedback

Any feedback or suggestions you provide may be used by us without restriction or compensation to you.

13. Dispute Resolution

13.1 Informal Resolution

Before filing a claim, you agree to attempt to resolve disputes informally by contacting us at [email protected]. We will attempt to resolve the dispute within 30 days.

13.2 Governing Law and Jurisdiction

These Terms are governed by the laws of the Federal Republic of Germany, excluding its conflict of law provisions.

If you are a consumer with habitual residence in the EU, you additionally enjoy the protection of mandatory provisions of the law of your country of residence.

For disputes arising from these Terms, the courts of Berlin, Germany shall have jurisdiction, unless mandatory law provides otherwise for consumers.

13.3 Online Dispute Resolution

The European Commission provides an online dispute resolution platform at https://ec.europa.eu/consumers/odr. We are neither obligated nor willing to participate in dispute resolution proceedings before a consumer arbitration board.

14. Severability

If any provision of these Terms is held invalid or unenforceable, the remaining provisions will continue in full force and effect. The invalid provision will be replaced by a valid provision that achieves the intended economic purpose as closely as possible.

15. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and ukix UG regarding the Service and supersede all prior agreements and understandings.
